Depends what you mean by 'upgrade'. Some might consider the DT770/600 an upgrade. If so, then yes.
 
To go to a D5000 or D7000, obviously not.

Haha I don't. What about to a DT990/600 Premium?

Thanks for the info... strange that the D5000/D7000 don't warrant much better sound for the price they're at.

Oops... I may not have been clear then. I think the D5k-D7k would be a tremendous upgrade. Especially the D7k, but that's a major $$ upclick. They don't isolate as well, but there are few who have tried the D7000 who have not praised them as one of the best closed cans available. The D5000 is gorgeous. Everything from about 300hz up is produced so beautifully and realistically and lush... but everything below that point was just too much. Boom! 
 
The DT990's are open. Highly praised. Big bass. Amazon currently has them for $230.

Sounds good... since DT990's are open I might go for the D5000 or DT880-600 (semi-open/semi-closed I hear).

x2.  I also like the D5000 a bit more than the SRH840- mainly for their bigger soundstage and more 'open' sound and feeling.  I've since purchased the D7000, which actually sound very similar to the D5000, but with tighter bass.  But it is a subtle difference only noticeable on some recordings.  At ~1/2 the price, the D5000 a better buy imo and are within your budget. As long as you don't mind some sound leakage.  Sadly I haven't heard the DT880-600 or DT770-600 so can't say how they compare.

I sure loves my DT880. But don't be fooled by the 'Semi-Open' moniker. Nothing semi about it. They are wide open.

This was actually discussed at length in the DT880/600 thread. No isolation whatsoever. No one is really sure why they term it as semi-open. It's a bit misleading.
 
I think it was MacedonianHero who said "yeah, like semi-pregnant".

Hmmm... good stuff. Alright I'm gonna try researching for any closed cans less than $350 that's worth upgrading from the SRH-840. (Better soundstage, decent isolation, better SQ).

The DT770/600 is great. Provides wonderful isolation. Not portable, though.
My issue with them (and I am one of a few who felt this way) is that for my ears there was not enough bass extension or bass prominence. Could be my ears... and I'm not a bass head. The whole presentation seemed skewed to the highs and a bit thin. 
 
Otherwise, yes, I think they are a step up from the SRH840. There is greater refinement and the highs are brilliant. Some have felt it a bit too bright, but the 600ohm is similar to the DT880/600 in it's highs.
 
Many love them. It's all personal taste and hearing.

I don't know if you will actually find a closed headphone worth upgrading over the SRH 840.
However open headphones do sound better so maybe have open/closed headphone thing going on.
Simply getting a open headphone and what it does for SQ makes it pretty easy to upgrade over the SRH 840.
 
Why not a open pair bisayaboi?

Most I've read agree that the SRH840 is a more 'refined' and 'neutral' can in comparison to the M50. But it's a matter of taste, use, etc., and I don't personally feel one is 'superior' to the other.
