I have the Shure 940's, looking to upgrade, any suggestions

Try the T5P maybe you'll like it. Not exactly similar to 940 though

KRK 8400s are quite similar to the 940s but to my ears the 940s are still more musical (probably because even though it is bass-lite, the KRKs seem even more so... I'm going from memory though).
 
You could also try the Mad Dogs by MrSpeakers... It is NOT as bass-light as the 940s as it does have GREAT bass extension and decent quantity but it doesn't skimp on the mids and details. (though if you only like your treble like the 940s, then these will probably not deliver what you want. But personally I like them a lot.)
 
Finally, if you can try the Sony MDR-Z1000, or the Beyer already suggested.

I was just about to suggest the MD, so +1. If you have the money to spend, take a look at the Paradox which is also a modded t50rp.
