I have the option of sending in my sm3 v2 for a replacement for free, or paying $70 for an upgrade to the sm64 at sound earphones.

Tough one.  Very different headphone.  SM64 more transparent & analytical.  SM3 more lush/organic. I prefer the SM64 myself but could live happily with either.

hmm. im debating on getting the sm64 simply because both my original sm3 and replacement sm3 both have the same issue with one side dying within a few months. thus, i can either get my second sm3 replaced or "upgrade" to the sm64. tough on to decide, ive never listened to the sm64.
