I have an itouch which is up for sale in the FS section. When i sell it i want to backup all my data to itunes and then delete everything from the itouch. How can i delete data from itouch, especially itunes store account? and also can I transfer my itunes backed up data (apps+songs) to my new iphone?

I have the new 3.1 version of the software which I dont want to loose. Thanks.

Go to Settings, General, then Reset, and hit Erase All Content and Settings, should do the trick.

That will just completely wipe the ipod, it wont back up your files.

You should be fine as long as youre going to sync the new iphone from the same itunes as you synced the old itouch. If its things you purchased in the app store youre worried about, itunes lets you transfer them directly from the ipod. You can also re-download previous purchases for free from itunes if you use the same itunes account.
