Most the portable dac/amp combos i see only accept 16bit/48khz max from usb. I know windows 7 supports 24/96 out of the usb port so I just need to find a good dac/amp combo that can accept the 24/96 signal.
 
These are my requirements:
 
1. Of course the number 1 thing is sound quality.
2. 24/96 USB input, I have a lot of high quality vinyl rips that were recorded directly into 24/96 flac off high end equipment
3. Portable, able to run off rechargeable batteries as well as usb or ac adapter when im at home
4. Amp section with 3 way selectable gain (Gain for IEM, Gain for medium sensitivity lower imp full size, Gain for High Imp Low sensitivty full size)
5. Price not to exceed 500-600 maximum

I have an audinst HUD-HMX1 and its working well with my hifiman he-300. I would suggest you go through all these steps --> http://thewelltemperedcomputer.com/SW/Windows/Win7/AudioPanel.htm  . The drivers will automatically update with windows 7 so you will have no problem with drivers. I play music through Foobar2000. Sorry if it seems like I'm promoting the website but its the website I use most since I was in the market for a DAC/AMP and I'm stuck in Korea so my options are very limited.

i like that fostex hp-a3. The fact it runs off usb power alone is pretty awesome.
