Exact Audio Copier (aka EAC). You can tell it to make mp3s using LAME, or WAVs that you can drag and drop into FLAC. An alternate program if CDDB doesn't work is CDex. Google them.

Can it convert entire directories? E.g. convert everything in a directory into flac?
Another good program to do that is Foobar2000 with the Diskwriter plugin. It's takes a little bit to configure, but it should do everything you need and keep the tags.

You just drag and drop wav files into FLAC, so you can do whatever you like. They can even be in different directories, FLAC puts the encoded files into the same directory as the source file. If you want to convert a directory tree use windows find and drag them all in.
