Looking for a nice receiver under $350

I'm looking for a new receiver for under $350 (street price; I'll probably buy it from eBay or get it refurbished to save money/get a higher model). I 'm not sure what kind of features are available/that I have to consider for receivers. I don't need XM satellite compatibility, don't really need a phono input, and probably won't ever venture into 7.1 (Though it'd be nice "just in case," but it is far from a necessity). Needs a built-in equalizer and headphone jack. It must be able to up-convert video. I've mainly been looking at 2 receivers so far, but I'm open to all suggestions:

Onkyo TX-SR574
Yamaha RX-V559 (Mainly due to the headphone extras, like that silent cinema thing. It doesn't seem to be able to up-convert video though, but I hear it does a great job powering speakers.)

Thanks in advance.

I've recently seen some nice receivers on audiogon that would meet your requirements. Also, I had a forum member offer me a nice Denon Stereo receiver and I opted to go vintage so if you're interested maybe I can get you in contact with the other member
